Terms of Service

01The agreement

These Terms of Service (the "Terms") form a binding agreement between you ("you", the "Customer") and Jakub Stonavský, a sole trader registered in the Czech Republic (IČO: 75239337, DIČ: CZ8408034954, registered seat: Meduňková 601/32, 103 00 Praha 10 — Kolovraty), trading under the brand VirtuProbe Studio ("we", "us", the "Provider").

By downloading, installing, registering an account, or paying for any plan of VirtuProbe Studio (the "Service"), you confirm that you have read, understood, and agreed to these Terms. If you do not agree, do not use the Service.

02Definitions

  • Service — the VirtuProbe Studio desktop application, optional server components, license server, libraries, documentation, and related websites under virtuprobe.studio and virtuprobe.com.
  • Plan — a subscription tier (Workbench, Engineering, Engineering Pro, Security, Security Pro, Enterprise) or a verified-access program (the Academic License).
  • License — a single paid subscription assigned to one named individual, usable by that person on up to three of their own devices.
  • Order — a paid purchase processed through Paddle (defined below).

03Accounts & licenses

To use any paid Plan you must register an account and keep your contact information accurate. You are responsible for safeguarding your credentials and for all activity under your account.

Per-user licensing

Paid Plans are licensed per user. Each License is assigned to a single named individual and may be used by that person on up to three of their own devices. A License is for one person; sharing a single License between multiple people is not permitted. To cover additional people, purchase one License per person.

Enterprise

Enterprise Plans are licensed per organisation and may permit unlimited users within the contracted domain, subject to the specific terms of a written Enterprise agreement.

04Plans & subscriptions

Current Plans, features, and pricing are published on the pricing page. We may add, modify, retire, or rename Plans. Material changes to a Plan you are actively subscribed to will only take effect from your next renewal.

Some features are available only on certain Plans or only after upgrading.

05Billing & Paddle as Merchant of Record

Paddle.com Market Limited (and its affiliates, collectively "Paddle") acts as the authorized reseller and Merchant of Record for all paid Orders. This means Paddle, not us, is the party that sells the license to you, collects payment, handles applicable taxes (VAT, GST, sales tax) and chargebacks, and issues your invoice.

By placing an Order you also accept Paddle's terms and privacy notice, available on paddle.com. Customer support, billing questions, and refund requests can be submitted to us or directly to Paddle.

Prices are displayed in EUR by default; Paddle may convert to your local currency at checkout. Taxes are added where applicable. All fees are exclusive of taxes unless stated otherwise.

06Renewal, changes & cancellation

Subscriptions auto-renew for the same billing period (monthly or annual) unless you cancel before the renewal date. You can cancel at any time from your account; cancellation takes effect at the end of the current paid period, and you keep access until then.

You may upgrade your Plan or add Licenses at any time. Upgrades and added Licenses are prorated to your existing renewal anniversary. Downgrades take effect at the next renewal; nothing is deleted, but features above your new tier become read-only.

07Refunds

Our refund terms are described in the Refund Policy, which forms an integral part of these Terms.

08Acceptable use

The Service is a wire-level protocol testing tool intended for legitimate engineering and authorized security testing. By using the Service you agree that you will:

  • Only send probes, fuzzing payloads, MITM-intercepts, or any active traffic against systems you own or for which you have explicit written authorization (e.g. a signed engagement, a published bug bounty scope, or an internal change ticket).
  • Comply with all applicable laws, including computer-misuse, anti-fraud, anti-spam, telecommunications, and data-protection laws of the jurisdictions involved.
  • Not use the Service to attack, disrupt, or gain unauthorized access to any third-party system or network.
  • Not reverse-engineer license-enforcement mechanisms, share a License between multiple people, or resell access without our written consent.
  • Not use the Service to send unsolicited bulk mail, to host malware, or to harm minors.

We may suspend or terminate accounts that we have reasonable grounds to believe are violating this section, with or without notice depending on severity.

09Workbench & Academic License

The Workbench tier is provided free of charge as an evaluation and lightweight-use product. It comes without warranty and we may modify its feature scope at any time.

The Academic License grants full Security-tier access free of charge to verified students and academic researchers (including faculty, and instructors or university societies licensing for educational use) as described on the Academic License page. The Academic License is a named personal license, non-transferable, and not for commercial use. Re-verification may be required at renewal. Misuse (commercial use, resale, credential sharing) results in immediate revocation.

10Intellectual property

The Service, including software, libraries, documentation, branding, and content, is owned by the Provider or its licensors and is protected by copyright and other intellectual-property laws. Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the Service for its intended purpose during your subscription term.

You retain all rights to probes, chains, scripts, payloads, and other content you create using the Service. You grant us a limited license to process such content solely as needed to operate the Service (for example, license activation telemetry, support, and crash reports if enabled).

11Your data

How we collect, use, and protect personal data is described in our Privacy Policy. Most probe configurations, chains, and history are stored locally on your device; we do not have access to them unless you explicitly send them to us (e.g. attaching a file to a support request).

12Third-party services

The Service integrates with or relies on third-party providers, including Paddle (billing), our email provider, and our analytics tooling. We are not responsible for third-party services beyond our integration with them. Your use of those services is governed by their respective terms.

13Warranty disclaimer

The Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, error-free, or that it will detect every vulnerability or behave correctly against every target system.

You acknowledge that wire-level testing tools can produce unexpected effects on target systems. You are solely responsible for selecting targets, configuring probes, and authorizing the testing you perform.

14Limitation of liability

To the maximum extent permitted by law, our aggregate liability arising out of or related to these Terms or your use of the Service is limited to the fees you paid to us (via Paddle) in the twelve (12) months preceding the event giving rise to the claim. We are not liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost data, or business interruption, even if advised of the possibility of such damages.

Nothing in these Terms limits liability that cannot be limited under applicable mandatory law (e.g. liability for gross negligence, wilful misconduct, or for damages to health or life caused by us).

15Term & termination

These Terms apply from the moment you first use the Service and continue until terminated by you or by us. You may terminate at any time by cancelling your subscription and ceasing use of the Service. We may suspend or terminate your access if you materially breach these Terms, if your payment fails and is not cured within a reasonable cure period, or if we are required to do so by law.

Sections concerning intellectual property, disclaimers, limitation of liability, governing law, and any provisions that by their nature should survive, will survive termination.

16Changes to these terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date at the top of this page and, where appropriate, notify active Customers by email or in-product notice. Your continued use of the Service after the changes take effect constitutes acceptance of the updated Terms.

17Governing law & venue

These Terms are governed by the laws of the Czech Republic, excluding its conflict-of-laws rules and the UN Convention on Contracts for the International Sale of Goods. The courts of the Czech Republic have exclusive jurisdiction, except that consumers based in the EU keep all mandatory rights under their local consumer-protection laws. EU consumers can also use the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr.
